Terms of Use
Effective date: October 29 2026
1. Agreement
These Terms of Use (the "Terms") are a binding agreement between you and Ketexa Inc., a Delaware corporation ("Ketexa", "we", "us" or "our"). They govern your use of the Grailhood website at https://www.grailhood.com, our apps and related services (together, the "Service").
IMPORTANT: SECTION 15 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. UNLESS YOU OPT OUT, YOU AND WE WILL RESOLVE DISPUTES BY INDIVIDUAL ARBITRATION, NOT IN COURT OR BEFORE A JURY.
By creating an account, making a purchase or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Pre-launch. The Service is not yet open to the public. Until launch, only Sections 1, 2, 9 to 17 apply, to your use of the website and our waitlist. The other Sections apply from launch.
Changes. We may change these Terms. We will post the new version and change the effective date. For material changes, we will give you additional notice, such as by email or in the Service. If you continue to use the Service after a change takes effect, you accept the new Terms.
2. Eligibility
To use the Service, you must:
- be at least 18 years old, or the age of majority where you live if that is higher;
- be physically located in an Eligible Location each time you create an account, buy a Pack, accept a Buyback, request a shipment or make a withdrawal. "Eligible Location" means the United States, except the states and territories we list on the Service as excluded. We may change this list at any time;
- not be a person subject to U.S. sanctions or located in a sanctioned country or region; and
- be legally able to enter into these Terms and to use the Service under the laws that apply to you. You are responsible for checking this.
You agree that we and our providers may use your IP address and device location to confirm where you are.
3. Your account and verification
You may hold only one account. The information you give us must be true, complete and current. Keep your password secure. You are responsible for all activity in your account. Do not share, sell or transfer your account.
We may ask you to verify your identity, age, address, location, payment method or source of funds at any time, including before a shipment or withdrawal. We may limit, suspend or refuse any part of the Service until verification is complete. If you do not complete verification, we may close your account, subject to Section 16.
4. Packs and Cards
How Packs work. The Service offers digital packs ("Packs"). Each Pack contains one physical collectible card (a "Card"). Before you buy, the Pack page shows its price, the Cards or Card tiers it may contain, and the probability of each. The Card in your Pack is selected at random according to those probabilities and revealed when you open the Pack. You buy the Pack, not any particular Card, grade or value.
Card information. Cards may be graded by independent grading companies, such as PSA, CGC or BGS. We do not grade Cards and are not responsible for grading decisions. Images and descriptions are for identification only. A "Market Value" is our estimate of a Card's value, based on recent comparable sales and other market data. It is not an appraisal or a promise of resale price. Card values change and may fall.
5. After the reveal
Your options. After a Card is revealed, it is reserved for you. Within 14 days you may:
- Request shipment of the Card to your address, under the shipping terms below; or
- Accept a Buyback offer, if we make one. A "Buyback" is our offer to credit your Balance with a stated percentage of the Card's Market Value at the time of the reveal, currently 85-90%.
If you do neither within that period, we may treat the Card as bought back at the offer shown at the reveal.
Buybacks. We are not required to offer a Buyback. We may change or withdraw an offer before you accept it. Once accepted, a Buyback is final and cannot be reversed.
Title and risk of loss. Before shipment, the Card is held by us or our inventory and fulfillment partner. Title to and risk of loss of the Card pass to you when we hand the Card to the carrier for delivery to the address you gave us. Until then, you have the right to request shipment or accept a Buyback, but no ownership of the Card.
Lost or unavailable Cards. If a reserved Card is lost, damaged or cannot be shipped before title passes to you, we will, at our choice, (a) ship you a Card of similar type, grade and value, or (b) credit your Balance with the Card's Market Value at the time of the reveal, plus any shipping fees you paid. This is your sole remedy for that event.
Shipping. We ship only to addresses in the United States. We show shipping fees and any sales tax before you confirm a request. We aim to ship within 20 business days after you confirm the request and complete any verification. If we cannot ship within the time we state, we will tell you and you may cancel the request for a refund of the shipping fee. Report a missing or damaged delivery within 10 days of the delivery date. We will help you with any carrier claim.
6. Your Balance
What it is. Your "Balance" shows the credits in your account, such as Buyback credits, refunds and promotional credits. You may use your Balance to buy Packs or, for eligible amounts, request a withdrawal.
What it is not. Your Balance is not a bank account or deposit. It earns no interest and is not FDIC-insured. You may not transfer it to another user.
Withdrawals. You may withdraw the eligible part of your Balance to a verified payment account in your name. Promotional credits cannot be withdrawn. Withdrawals may be subject to verification, minimum amounts, limits and processing times shown in the Service. We may delay or hold a withdrawal to investigate suspected fraud, chargebacks, money laundering or a breach of these Terms, or when the law requires it.
Inactive accounts. If your account is inactive for the period set by state law, we may report and remit any Balance to the relevant state as unclaimed property.
7. Payments and refunds
Payments. Prices are in U.S. dollars. Third-party payment processors handle payments, and their terms also apply. You must use a payment method in your own name. You authorize us to charge the full amount shown when you confirm a purchase, including any applicable taxes.
All sales final. Once you buy and open a Pack, the purchase is final and non-refundable, except:
- a duplicate charge or a technical or payment error;
- an unauthorized or fraudulent charge, after review;
- an order we cancel or cannot fulfill; or
- where the law requires a refund.
We do not give refunds because you are unhappy with the Card revealed or because a Card's value changes. To request a refund, contact us within 30 days of the charge. We may refund to your original payment method or to your Balance, unless the law requires otherwise.
Errors. If a price, probability, Market Value or reveal is clearly wrong because of a technical or human error, we may correct it, cancel the affected transaction and refund the amount paid.
Chargebacks. If you start a chargeback, we may suspend your account while we review it. If the chargeback is not valid, the amount remains a debt you owe us.
8. Promotions
We may offer promotions, such as free Packs, discounts or promotional credits. Each promotion is subject to its own rules and these Terms. We may change or end any promotion, and exclude any user from it in case of abuse, at any time.
9. Prohibited conduct
You must not:
- use the Service for any illegal purpose, including fraud, money laundering or terrorist financing;
- open more than one account, or use someone else's account or payment method;
- give false information or hide your true location, for example with a VPN or proxy;
- use bots, scripts, scrapers or other automated tools;
- interfere with, hack, reverse engineer or overload the Service;
- abuse promotions or exploit errors in the Service; or
- harass other users or our staff.
If you breach this Section, we may void the affected transactions and take action under Section 16.
10. Intellectual property
The Service, its content and the Grailhood name and logo belong to us or our licensors. We grant you a limited, personal, non-transferable, revocable license to use the Service for your own non-commercial use under these Terms.
Card images, player and character names, and the trademarks of card manufacturers, leagues and grading companies belong to their owners. We use them only to identify the Cards. Grailhood is not affiliated with or endorsed by them.
If you send us ideas or feedback, we may use them freely without payment to you.
11. Third-party services
The Service relies on third parties, such as payment processors, identity verification providers, our inventory and fulfillment partner, grading companies and carriers. We are not responsible for their services, websites or terms, except where these Terms expressly say otherwise.
12. Disclaimers
Not an investment. Cards are collectibles for personal enjoyment. They are not investments. We do not give investment, financial, tax or legal advice. Market Values, odds and past results do not predict future value.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CARDS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY CARD WILL HAVE OR KEEP ANY PARTICULAR GRADE, CONDITION OR VALUE.
You are responsible for checking that your use of the Service is lawful where you are. We make no promise that the Service is lawful or available in any particular place.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- KETEXA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITY OR LOSS OF GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 AND (B) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by our negligence. Some states do not allow certain limits, so some of them may not apply to you.
You must bring any claim within one year after it arises, unless the law requires a longer period.
14. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless Ketexa and its affiliates, officers, employees and agents from any third-party claims, losses and costs (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law or third-party right, or your misuse of the Service.
15. Dispute resolution and arbitration
Informal resolution first. Before starting arbitration, you or we must send the other a written notice describing the dispute and the relief sought. Send yours to legal@ketexa.com. We will both try in good faith to resolve it for 30 days.
Binding arbitration. If the dispute is not resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its rules then in effect, including its consumer minimum standards where they apply. The Federal Arbitration Act governs this Section. The arbitrator decides all questions about the scope and enforceability of this Section. Hearings may take place by video or phone, or in the county where you live. Your filing fees will not exceed US$250 or the amount the JAMS rules require, whichever is less.
Exceptions. Either party may bring an individual claim in small claims court, or seek an injunction in court for misuse of intellectual property.
Class action and jury waiver. YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. If this class waiver is found unenforceable for a claim, that claim will go to court, not arbitration.
Opt-out. You may opt out of this Section within 30 days after you first accept these Terms. Email legal@ketexa.com with the subject "Arbitration Opt-Out" and your name, account email and address.
16. Suspension and termination
You may close your account at any time. We may suspend or close your account, or limit the Service, at any time if we reasonably believe you breached these Terms or the law, to comply with the law, or if we stop offering the Service.
When an account closes, we will let you withdraw the eligible part of your Balance and request shipment of reserved Cards (or credit them as a Buyback), subject to verification and the law. We may withhold or void amounts linked to fraud or a material breach. Sections 6, 7 and 10 to 17 survive termination.
17. General
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 15, the state and federal courts in Delaware have exclusive jurisdiction.
Other terms. These Terms, the Privacy Policy and any rules shown in the Service are the entire agreement between you and us. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them without notice. We are not liable for delays caused by events beyond our reasonable control. You agree to receive notices from us electronically.
